Plain-Language Summary - Not Part of the Agreement Wingman is a local-first fantasy-football draft assistant. It gives recommendations and analysis, but you make every pick, bid, and roster decision. Wingman can work offline, does not use background telemetry, and does not send routine league data or fantasy-platform credentials to Hums Along AI. The free tier provides up to three practice mock drafts and one optional strategy preset. A paid seasonal license provides the features described at purchase for the applicable season. Wingman does not guarantee fantasy results. Third-party platforms and data can change or fail. Your locally stored league content remains yours. Hums Along AI does not use a remote kill switch to disable an installed copy of Wingman. This summary is provided only to make the Agreement easier to understand. If this summary conflicts with the legal terms below, the legal terms below control. This End User License Agreement ("Agreement") is a legal agreement between you and Hums Along AI, operator of LeagueHangar.com and owner and operator of the Wingman fantasy software product ("Hums Along AI," "League Hangar," "we," "us," or "our"), regarding your installation and use of the Wingman fantasy sports software application and any documentation, updates, data files, browser components, or other software components that we provide under this Agreement (collectively, "Wingman" or the "Software"). PLEASE READ THIS AGREEMENT CAREFULLY. By selecting "I Agree & Continue," "Accept & Continue," or another clearly labeled acceptance control presented with this Agreement, you confirm that you had an opportunity to read this Agreement and agree to be bound by it. If you do not agree, select "Decline & Exit" and do not install or use Wingman. If you are not legally able to enter into a binding contract where you live, a parent or legal guardian must review and accept this Agreement on your behalf. 1. WHAT WINGMAN IS Wingman is a local-first fantasy sports decision-support application designed to help users prepare for and participate in fantasy sports drafts and related fantasy-league activities. Depending on the version, sport, license tier, and features available, Wingman may provide functions such as: • league-specific scoring and roster-rule modeling; • player rankings, tiers, projections, valuations, and uncertainty information; • snake-draft and salary-cap or auction-draft decision support; • draft-strategy presets, mock-draft practice, and strategy comparison; • budget, roster, scarcity, availability, and market analysis; • draft-history and transaction recording; • undo, correction, replay, and recovery tools; • league-history and manager-tendency analysis; • local import, export, notes, settings, and preferences; and • other fantasy-sports planning and analytical tools. Wingman is a decision-support tool. It does not place a pick, bid, roster move, wager, or other transaction for you, and it does not operate as an autodraft system. LICENSE GRANT AND LICENSE TIERS Hums Along AI | O'Fallon, Missouri 2.1 General License Subject to your compliance with this Agreement and any applicable purchase, beta-access, sport, or seasonal entitlement, Hums Along AI grants you a limited, personal, revocable, non-exclusive, non-transferable license to install and use Wingman on devices that you own or control for your own lawful, noncommercial fantasy-sports activities. Wingman is licensed, not sold. Hums Along AI and its licensors retain all rights in Wingman that are not expressly granted to you. 2.2 Free Tier If Wingman is provided under the free tier, the free tier permits up to three practice mock drafts and access to one optional strategy preset, subject to the feature descriptions presented in the Software. The free tier is provided for evaluation, practice, and personal use. Hums Along AI may change the features included in future free-tier versions, but a change will not retroactively alter a completed use already permitted under the version you received. 2.3 Paid Seasonal License A paid Wingman license is a seasonal personal-household license unless the purchase screen expressly states otherwise. For the purchased season, the purchaser and members of the purchaser's household may use Wingman for personal, noncommercial fantasy-sports activities on devices owned or controlled by that household. The license may not be shared, sold, rented, sublicensed, or distributed outside that household. The features included in a paid seasonal license are those described at the time of purchase. A purchase for one sport or season does not automatically grant rights to a different sport or later season unless expressly stated. 2.4 Price, Renewal, and Refunds The applicable price and included features will be disclosed before purchase. A seasonal Wingman license does not automatically renew unless an applicable purchase screen clearly and conspicuously states otherwise and you separately provide the legally required affirmative consent to that renewal arrangement. Any refund right is governed by the purchase terms presented at checkout and by applicable law. Nothing in this Agreement limits any refund, cancellation, or consumer right that applicable law does not allow us to limit. 3. PRIVATE BETA TERMS If the version of Wingman you receive is identified as beta, preview, prerelease, test, evaluation, or similar, the following additional terms apply. Beta software is unfinished software. Features may change, calculations may be adjusted, compatibility may change, and defects may remain undiscovered. During a private beta: 1. you may use Wingman only as permitted by the beta invitation or access instructions; 2. you may not sell, redistribute, publish, or publicly post the beta installer or private beta access code; 3. you may voluntarily share feedback, bug reports, screenshots, or testing observations with Hums Along AI; 4. we may add, remove, modify, or discontinue beta functionality in later beta builds; 5. we may end or replace a beta version; and 6. beta support is provided on a reasonable-efforts basis and is not guaranteed. A change to a future beta build does not remotely alter or disable a copy already installed on your device. We will make reasonable efforts to avoid unnecessary loss of local data, but you should maintain appropriate backups of information you consider irreplaceable. When Wingman leaves beta, these beta-specific provisions cease to apply to the commercial version unless the Software or a feature remains identified as beta or prerelease. YOUR LEAGUE SETTINGS ARE YOUR RESPONSIBILITY Hums Along AI | O'Fallon, Missouri Wingman is designed to model fantasy leagues according to their scoring, roster, keeper, draft, salary-cap or auction, and other rules. Accurate recommendations depend on accurate inputs. Before relying on Wingman during a draft, you are responsible for reviewing and confirming that your league configuration accurately reflects the rules of your league and the settings of the fantasy platform you use. A Wingman Draft Check, validation result, readiness indicator, or similar feature is intended to help identify configuration problems. It is not a legal guarantee that every setting, external rule, projection, data point, or recommendation is correct. If Wingman identifies a missing, inconsistent, stale, or unresolved rule, you should correct or verify it before relying on the affected recommendation. 5. FANTASY SPORTS INFORMATION, PREDICTIONS, AND RECOMMENDATIONS Fantasy sports inherently involve uncertainty. Player performance, injuries, depth charts, coaching decisions, weather, trades, suspensions, statistical corrections, projections, rankings, market prices, draft behavior, and other factors may change without notice or may be uncertain. Wingman may provide predictions, valuations, rankings, grades, probabilities, predictive ranges, confidence levels, recommendations, or other analytical outputs that later prove incorrect. Wingman does not guarantee: • that any player will perform as projected; • that any player will remain healthy or active; • that any player will be available at a future draft pick; • that an auction or salary-cap price will represent a player's future value; • that a draft strategy will outperform another strategy; • that a simulated or mock-draft result will reproduce a future real draft; • that third-party information is complete, accurate, timely, or current; • that following a Wingman recommendation will cause you to win a draft, matchup, league, contest, prize, or money; or • any particular fantasy-sports result. References to training, simulation, historical testing, calibration, model confidence, or similar evidence describe the evidence used to develop or evaluate Wingman. They are not promises of future performance. You retain final judgment over every decision. 6. WINGMAN IS NOT A SPORTSBOOK OR GAMBLING OPERATOR Wingman is fantasy-sports analysis and decision-support software. Hums Along AI does not, through Wingman itself: • operate a sportsbook; • accept or place wagers; • hold gambling funds; • set betting lines; • operate paid fantasy contests; or • guarantee prizes or winnings. If you choose to participate in a fantasy league, contest, pool, or other activity involving entry fees, prizes, or other consideration, you are responsible for determining whether your participation is lawful where you live and permitted by the applicable fantasy platform and league rules. THIRD-PARTY PLATFORMS, DATA SOURCES, AND INTEGRATIONS Hums Along AI | O'Fallon, Missouri Wingman may be used alongside or, where expressly enabled, may interoperate with fantasy-sports websites, applications, data sources, browser software, or other third-party services. Those services are controlled by third parties and may have their own terms, rules, privacy policies, API restrictions, automation policies, technical requirements, intellectual-property rights, and acceptable-use requirements. A Wingman license does not grant you or Hums Along AI rights that a third-party platform has not granted. You may not use Wingman to: • bypass access controls imposed by a third-party service; • obtain information you are not authorized to access; • impersonate another user; • interfere with or damage a third-party service; • violate a third-party platform's rules or applicable law; or • use Wingman to circumvent a third-party restriction or to access data or functionality that you are not authorized to access. A third-party integration may be changed, suspended, withheld, or removed if a platform changes its technology, restricts access, withdraws permission, changes its terms, or if Hums Along AI reasonably determines that continued support would create legal, security, reliability, or compatibility risk. Hums Along AI is not responsible for suspension, restriction, loss of access, or other action taken by a third-party platform. 8. NO SPORTS-LEAGUE, PLATFORM, TEAM, OR ATHLETE AFFILIATION Unless we expressly state otherwise in writing, Wingman, League Hangar, LeagueHangar.com, and Hums Along AI are independent and are not sponsored by, endorsed by, affiliated with, or officially connected to any professional or amateur sports league, team, players' association, athlete, fantasy-sports platform, media company, or other third party. Third-party names, factual references, statistics, and identifiers, when lawfully used, remain the property of their respective owners. No third-party trademark or brand reference implies endorsement. 9. PLAYER DATA, THIRD-PARTY DATA, AND THIRD-PARTY COMPONENTS Wingman may use or allow you to import data from lawful third-party sources. Third-party data may be inaccurate, delayed, unavailable, incomplete, corrected after publication, or subject to separate license terms. Hums Along AI does not acquire ownership of third-party content merely because Wingman can read, process, or display it. Wingman may include open-source software or other third-party software components. Those components may be governed by separate license terms contained in a Third-Party Notices or similar file accompanying Wingman. Where a third-party or open-source license gives you rights that conflict with a restriction in this Agreement regarding that component, the applicable third-party license controls for that component. 10. YOUR LEAGUE DATA, PRIVACY, AND LOCAL CONTENT As between you and Hums Along AI, you retain your rights in league information, notes, configuration files, imported records, custom rankings, personal preferences, and other content that you lawfully provide to Wingman ("Your Content"). This Agreement does not transfer ownership of Your Content to Hums Along AI. Wingman is designed around local-first operation. Core draft functionality is designed to work without continuous Internet connectivity. Wingman EULA v1.5 | Pre-Release Working Draft | LeagueHangar.com | Page 4 10.1 No Background Telemetry Hums Along AI | O'Fallon, Missouri Current Wingman versions do not collect background usage telemetry or analytics for Hums Along AI. Routine league data, draft records, local preferences, and fantasy-platform credentials are not transmitted to Hums Along AI merely because you use Wingman. 10.2 Local Storage Information stored only on your device cannot ordinarily be recovered by Hums Along AI if you lose it. You are responsible for maintaining appropriate backups of local data that matters to you. 10.3 User-Initiated Feedback and Support If Wingman provides a feedback or diagnostic-submission feature, submission is user-initiated. Before diagnostic information is transmitted to Hums Along AI, Wingman is designed to present the selected submission contents for your review. If you voluntarily provide diagnostic files, screenshots, logs, draft-state records, or other materials to Hums Along AI for support or testing, you grant us a limited, non-exclusive license to use those materials only as reasonably necessary to: • investigate the issue; • provide support; • reproduce or test a problem; • test a fix; • improve Wingman; and • maintain security and reliability. This limited license does not transfer ownership of Your Content to us. Any personal information you affirmatively transmit to Hums Along AI is governed by the applicable Wingman Privacy Notice. 10.4 Website, Purchases, and Voluntary Online Interactions The no-background-telemetry statements above describe the Wingman application itself. Visiting LeagueHangar.com, purchasing a license, requesting support, or voluntarily sending feedback may involve information that you choose to provide and information processed by service providers used for those activities, such as a payment processor. Those practices must be described in the applicable Wingman Privacy Notice and are separate from Wingman's local-first application design. 11. PERMITTED FEEDBACK We welcome feedback about Wingman. If you voluntarily give us ideas, suggestions, bug reports, feature requests, or other product feedback, you grant Hums Along AI a worldwide, perpetual, irrevocable, royalty-free right to use, modify, develop, commercialize, and incorporate that feedback into our products and services without compensation or attribution. This feedback license applies to your suggestions and observations about Wingman. It does not give us ownership of your league data, private files, personal information, screenshots, diagnostic files, or other unrelated content. Nothing in this section restricts your right to make an honest review, evaluation, criticism, or other lawful public statement about Wingman or Hums Along AI. Please do not provide feedback that you do not have the right to share. 12. RESTRICTIONS Except where applicable law expressly gives you a right that cannot be restricted, you may not: 1. copy or redistribute Wingman except as expressly permitted; 2. sell, sublicense, rent, lease, or commercially redistribute the Software; 3. share a paid seasonal license outside the authorized household; 4. publish or distribute private beta installers or access credentials outside the authorized beta group; 5. circumvent activation, entitlement, licensing, security, or technical restrictions; Wingman EULA v1.5 | Pre-Release Working Draft | LeagueHangar.com | Page 5 Hums Along AI | O'Fallon, Missouri 6. reverse engineer, decompile, or disassemble Wingman, except to the extent applicable law or an applicable open source license expressly permits it; 7. remove or alter copyright, trademark, license, or attribution notices; 8. use Wingman to distribute malware or interfere with another computer, network, application, or service; 9. use Wingman for unlawful activity; 10. falsely represent that Wingman, Hums Along AI, League Hangar, or Wingman analysis is endorsed by a third party; or 11. use Wingman to obtain unauthorized access to data, accounts, platforms, or systems. Nothing in this section is intended to prohibit lawful security research, interoperability, reverse engineering, consumer rights, or other conduct to the extent such conduct cannot legally be restricted by contract. 13. UPDATES AND VERSION SUPPORT Hums Along AI may offer updates, corrections, data-format changes, new features, or replacement versions of Wingman. Wingman updates are user-initiated. Hums Along AI does not automatically install software updates on your device without your action. Updates may add, modify, or remove features in the version you choose to install. Unless clearly disclosed otherwise, Wingman will not intentionally make a core local draft function dependent on continuous Internet connectivity merely because an update is available. Certain optional features, data refreshes, downloads, platform integrations, and update checks may require Internet access. Older versions may eventually stop receiving fixes, current data formats, current player data, compatibility support, or technical support. Hums Along AI may stop offering an old installer or update for download, but doing so is not the same as remotely disabling an installed copy. If a specific update is required for compatibility, security, licensing, or reliable operation, we will make reasonable efforts to notify users through Wingman, LeagueHangar.com, release notes, or another reasonable method. 14. SECURITY, LOCAL CREDENTIALS, AND DEVICE RESPONSIBILITY You are responsible for maintaining reasonable security over: • your computer; • your operating-system account; • Wingman files; • backups; • beta access codes; • exported league information; and • third-party credentials, session tokens, or cookies that you choose to use with supported fantasy services. Where Wingman permits you to provide a third-party session token or cookie for an integration, Wingman is designed to store that credential locally on your device. Hums Along AI does not receive or store those credentials on its servers through ordinary Wingman operation. Do not send Hums Along AI your fantasy-platform password, authentication cookie, session token, or other login secret as part of ordinary support or feedback. Hums Along AI does not need your fantasy-platform password merely to provide ordinary product support. 15. INTELLECTUAL PROPERTY Wingman, League Hangar, LeagueHangar.com, Hums Along AI's original software, user-interface designs, logos, artwork, documentation, algorithms, models, compilation methods, and other proprietary materials are owned by Hums Along AI or its licensors and are protected by applicable intellectual-property laws. Wingman EULA v1.5 | Pre-Release Working Draft | LeagueHangar.com | Page 6 Hums Along AI | O'Fallon, Missouri Hums Along AI claims and reserves whatever trademark, service-mark, trade-name, and other branding rights it may have under applicable law in the names Wingman, League Hangar, LeagueHangar.com, and associated original logos and branding. Nothing in this Agreement represents that any such mark has been federally or state registered or that a trademark-clearance review has been completed. This Agreement grants you a license to use Wingman. It does not grant you ownership of Wingman or the right to use Hums Along AI's branding except as necessary to identify the product in ordinary lawful use. Any third-party intellectual property remains owned by its respective owner. 16. NO WARRANTY - ESPECIALLY DURING BETA 16.1 Mandatory Rights Remain Some jurisdictions provide consumers with warranties, guarantees, or other legal rights that cannot lawfully be excluded. Nothing in this Agreement excludes, limits, or waives a right that applicable law does not permit us to exclude, limit, or waive. 16.2 Software Disclaimer To the maximum extent permitted by applicable law, Wingman - particularly any beta or prerelease version - is provided "as is" and "as available." Hums Along AI does not promise that Wingman will: • be error-free; • operate without interruption; • be compatible with every computer, browser, network, or third-party platform; • detect every configuration error; • contain perfectly current sports data; • maintain uninterrupted third-party integrations; • produce correct predictions, prices, probabilities, or recommendations in every situation; or • meet every user's individual expectations. To the maximum extent permitted by applicable law, Hums Along AI disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 17. LIMITATION OF LIABILITY Nothing in this Agreement limits liability that cannot legally be limited, including liability where applicable law prohibits limitation for fraud, willful misconduct, gross negligence, death, personal injury, or other specified conduct. Subject to those mandatory rights, to the maximum extent permitted by law: 1. Hums Along AI will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; 2. Hums Along AI will not be liable for lost fantasy winnings, lost prizes, lost profits, reputational loss, loss of opportunity, or losses resulting from a draft, bid, strategy, roster, or lineup decision; 3. Hums Along AI will not be liable for losses caused by inaccurate or stale third-party data, third-party platform changes or outages, network failures, rule changes, injuries, statistical corrections, authentication failures, or other circumstances outside our reasonable control; and 4. Hums Along AI's total aggregate liability arising out of Wingman or this Agreement will not exceed the greater of (a) US $50 or (b) the amount you paid Hums Along AI for Wingman during the twelve months immediately before the event giving rise to the claim. The limitations in this section apply regardless of the legal theory asserted, but only to the extent permitted by applicable law. 18. TERMINATION - LEGAL EFFECT ONLY; NO REMOTE KILL SWITCH This Agreement begins when you accept it. Wingman EULA v1.5 | Pre-Release Working Draft | LeagueHangar.com | Page 7 You may terminate it at any time by uninstalling Wingman and ceasing use of the Software. Hums Along AI | O'Fallon, Missouri Hums Along AI may terminate your contractual license and legal right to use Wingman if you materially breach this Agreement and, where the breach is capable of cure, fail to cure it after reasonable notice. Hums Along AI may treat the license as immediately terminated where reasonably necessary to address: • software piracy; • unauthorized commercial redistribution; • deliberate circumvention of licensing or security controls; • malicious use; • unlawful activity; or • material threats to Wingman, Hums Along AI, users, or third parties. Termination under this section is a legal termination of the license. It does not mean remote technical disablement of an installed copy. Wingman is designed without a remote kill switch, and Hums Along AI does not reserve a contractual right to reach into your device to remotely delete or disable an installed copy of Wingman. After termination, you are no longer licensed to continue using Wingman. Hums Along AI may also stop providing future downloads, updates, optional online services, or support associated with a terminated license, to the extent permitted by law. Termination does not transfer ownership of your locally stored files to Hums Along AI and does not authorize Hums Along AI to delete your local league data. Sections concerning ownership, feedback, restrictions that by their nature survive, warranty disclaimers, liability limitations, dispute provisions, and other provisions that by their nature should survive termination will survive. 19. EXPORT AND LEGAL COMPLIANCE You must comply with applicable export-control, sanctions, and other laws governing your use or transfer of Wingman. You may not knowingly export, re-export, provide, or use Wingman in violation of applicable United States export-control or sanctions laws. 20. CHANGES TO THIS AGREEMENT Hums Along AI may update this Agreement as Wingman changes. We will identify the version and effective date of the Agreement. If we make a material change that affects your legal rights or obligations, we will not rely solely on silently posting new terms. We will provide reasonable notice and require affirmative acceptance before the materially revised Agreement governs a new Wingman version or materially changed feature presented under that revised Agreement. We will not treat silence or mere continued use of an already-installed version as acceptance of materially revised terms. Non-material corrections, formatting changes, contact-information updates, or clarifications may be made without requiring renewed acceptance. A revised Agreement does not retroactively change rights or obligations that arose before its effective date unless applicable law permits and you expressly agree. 21. GOVERNING LAW AND DISPUTES This Agreement and any dispute arising out of or relating to Wingman or this Agreement will be governed by the laws of the State of Missouri, without regard to Missouri's conflict-of-law principles, except to the extent the mandatory law of another jurisdiction applies and cannot lawfully be waived. Subject to any applicable small-claims rights, mandatory consumer-law venue rules, and other non-waivable rights, you and Hums Along AI consent to the jurisdiction and venue of: • the state courts located in St. Charles County, Missouri; and • where federal subject-matter jurisdiction exists, the United States District Court for the Eastern District of Missouri, Eastern Division. Nothing in this section prevents either party from bringing an eligible claim in small-claims court or seeking temporary or emergency relief where permitted by law. 22. CONSUMER RIGHTS This Agreement does not reduce any statutory consumer protection, warranty, privacy, accessibility, cancellation, refund, or other right that applicable law does not allow you to waive. If a provision of this Agreement conflicts with a mandatory consumer protection applicable to you, that mandatory protection controls. 23. SEVERABILITY If a court or other authority with jurisdiction determines that part of this Agreement is invalid or unenforceable, that provision will be enforced to the greatest extent legally permitted or severed if necessary. The remainder of the Agreement will remain in effect. 24. NO WAIVER If Hums Along AI does not enforce a provision of this Agreement on one occasion, that does not waive our right to enforce it later. 25. ASSIGNMENT You may not transfer this Agreement or your Wingman license except where applicable law or an applicable purchase term permits. Hums Along AI may assign this Agreement in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of the business or assets associated with Wingman, provided the successor remains bound by applicable obligations under this Agreement. 26. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE This Agreement, together with any applicable: • purchase or entitlement terms; • Privacy Notice; • Third-Party Notices; • beta-program terms expressly presented to you; and • additional feature-specific terms that you affirmatively accept, constitutes the agreement between you and Hums Along AI concerning your use of Wingman. If there is a conflict, a more specific term governing a particular transaction or feature controls over a more general term to the extent of the conflict. The plain-language summary displayed with this Agreement is provided for convenience only and is not a substitute for the Agreement. If Hums Along AI is a trade or fictitious name rather than the seller's true legal name, the contracting-party identification in this Agreement must be changed before public release to the seller's true legal name followed by "d/b/a Hums Along AI" (or the legally appropriate equivalent).
